1. Platform Provider Disclaimer

PeerSeek, operated under AscendLink Technologies Private Limited, is an intermediary platform that enables independent professionals ("Creators") to connect with users seeking professional guidance, advice, and services. PeerSeek does not endorse, guarantee, or take responsibility for any engagements, discussions, or outcomes resulting from these meetings. All interactions and services provided by Creators on PeerSeek are independent of PeerSeek's control, and we are not liable for any actions, outcomes, or consequences arising from these meetings.

2. Permitted Use and Prohibited Activities

You may use the platform solely for lawful purposes. All users, including Creators, must agree not to:

• Engage in or promote illegal activities, including but not limited to data mining, scraping, or any form of unauthorized data extraction from the platform without explicit consent from PeerSeek.
• Offer or promote services involving nudity, explicit material, or any other form of unlawful content.
• Use the platform in a manner that violates applicable laws or regulations.

PeerSeek reserves the right to suspend or terminate accounts for any activities that violate these terms.

3. Fees, Charges, and Taxes

PeerSeek charges a processing fee for the services provided on the platform. We reserve the right to modify these fees at any time without prior notice. Additional charges, taxes, and deductions may apply, as required by applicable laws or by third-party services.

4. Creators Responsibilities

Creators are responsible for the accuracy of all information provided, including financial information such as bank account details. PeerSeek shall not be liable for any failed or delayed transactions resulting from inaccurate or incomplete details provided by the Creator.

5. Refunds and Payment Issues

• In the event that money is deducted but the service is not booked, PeerSeek will ensure that a full refund is issued. However, if the refund does not occur within 5 to 30 days, users may contact us at help@peerseek.io for assistance.
• Refunds may be partial or full, depending on the terms set by the Creator and the platform.
• PeerSeek is not responsible for any delays in refunds caused by third-party payment aggregators or financial institutions.

6. Settlement Period

Funds from completed services may take up to 30 days or longer to reach the Creator's designated account, depending on the processing policies of our payment aggregator. PeerSeek is not responsible for any delays caused by third-party payment processors or financial institutions.

7. Verified Tick Disclaimer

The verified tick on a PeerSeek profile signifies that the creator has been reviewed based on various parameters such as their social media presence (e.g., LinkedIn), contact details (e.g., email, phone number), or direct outreach by our team. However, this tick does not represent verification of identity through any government-issued ID or in-person interaction. It should not be considered a confirmation of the creator's legal or official identity.

8. Premium and Exclusive Account Features

In addition to the standard features provided with a PeerSeek account, the Company may, at its sole discretion, offer certain premium or exclusive account customization features. Such features are considered supplementary to our core Services and may include, but are not limited to:

• Premium Usernames: Highly sought-after usernames, such as those with a single character, two characters, or specific desirable words.
• Profile Enhancements: Special visual indicators on a user's profile, such as custom-colored verification badges ("golden ticks"), borders, or other unique insignia that distinguish the account.

These premium and exclusive features are not provided as a standard part of the Service and may be subject to a one-time or recurring fee. The availability of any specific feature (e.g., a particular username) is not guaranteed and is subject to prior claims or Company reservation.

Users interested in acquiring such features should contact us directly at help@peerseek.io to inquire about availability, eligibility, and pricing. PeerSeek reserves the right, in its sole and absolute discretion, to grant or deny any request for these features and to modify the offerings and associated fees at any time without prior notice.

9. Marketplace for Digital Products

9.1. General

PeerSeek provides a marketplace for Creators to offer and sell digital products, such as e-books, templates, video courses, guides, and other digital materials ("Digital Products") directly to Users. PeerSeek acts solely as a platform facilitator for these transactions. The transaction for the purchase of Digital Products is a direct contract between the Creator and the buying User. PeerSeek is not a party to this contract.

9.2. For Creators: Responsibilities and Warranties

By listing a Digital Product on the PeerSeek platform, you as a Creator represent and warrant that:

• Ownership: You are the sole and exclusive owner of the Digital Product or have all necessary rights, licenses, consents, and permissions to sell and grant a license to the Digital Product to Users.
• Non-Infringement: Your Digital Product, and its sale on our platform, does not and will not infringe upon, misappropriate, or violate any third party's intellectual property rights (including copyright, trademark, patent), rights of publicity or privacy, or any applicable law or regulation.
• Accuracy and Quality: The description, content, and quality of the Digital Product are accurate, complete, and not misleading. You are solely responsible for the content and for providing any necessary support to the Users who purchase your Digital Product.
• Content Policy: The Digital Product complies with all PeerSeek content policies and does not contain any material that is unlawful, defamatory, libelous, obscene, pornographic, harmful to minors, or promotes hate speech, violence, or discrimination.
• Pricing: You have the full authority to set the price for your Digital Product. You agree that PeerSeek will process the payment from the User on your behalf.

9.3. For Users (Buyers): Purchase and License Terms

• Purchase: When you purchase a Digital Product, you are purchasing a license to use that product, not the ownership of the product itself.
• License Grant: Upon successful payment, the Creator grants you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to access and use the Digital Product for your personal, non-commercial use, subject to these Terms and any additional terms provided by the Creator.
• Restrictions on Use: You agree not to reproduce, distribute, resell, modify, create derivative works from, or publicly display the Digital Product. Sharing your access to the Digital Product with others is strictly prohibited. Violation of these license terms may result in the termination of your account and potential legal action from the Creator.

9.4. Financial Terms

• Pricing and Fees: Creators shall set the prices for their Digital Products. PeerSeek will charge a transaction fee or commission ("Platform Fee") on each sale, which will be deducted from the sale price before the remaining funds are paid out to the Creator. The current Platform Fee percentage will be displayed in the Creator's dashboard or otherwise communicated to the Creator.
• Payment Processing: PeerSeek will facilitate payment processing for all Digital Product sales through its third-party payment processors.
• Payouts to Creators: Payouts of the net revenue (sale price minus Platform Fee) will be made to Creators according to the payout schedule and method specified in their PeerSeek account settings. Creators are responsible for providing and maintaining accurate payout information.
• Taxes: Creators are solely responsible for determining their own tax obligations and for remitting all applicable taxes (such as income tax and VAT/GST, if applicable) on the revenue they earn from their sales. PeerSeek is not responsible for advising on, collecting, or remitting taxes on behalf of any Creator.

9.5. Refund Policy

Due to the immediate access and intangible nature of Digital Products, all sales are considered final and non-refundable once the purchase is complete. Refunds will only be considered under the following circumstances:

• The Digital Product is technically non-functional or corrupt, and the Creator is unable to provide a working version within a reasonable timeframe.
• The Digital Product was mis-sold due to a demonstrably false or misleading description.

All refund requests will be reviewed by PeerSeek on a case-by-case basis, and the final decision to issue a refund rests with PeerSeek, in consultation with the Creator.

9.6. Disclaimers and Limitation of Liability

PeerSeek does not create, endorse, review, or guarantee the quality, safety, legality, or accuracy of any Digital Product offered by Creators. Any legal claim related to a Digital Product a User purchases must be brought directly against the Creator of that product. PeerSeek is released from any and all claims, demands, and damages arising out of disputes between Users and Creators related to Digital Products. PeerSeek reserves the right, but is not obligated, to remove any Digital Product from the platform at any time for any reason, including violation of these Terms.
